Professional Onboarding Agreement

This Professional Onboarding Agreement (“Agreement”) is between Devn Inc. (“Devn”) and the undersigned financial professional (“Professional”). By completing onboarding and clicking “I Agree,” Professional accepts these terms as a condition of participation on the Devn platform (“Platform”).

 

1. Independent Contractor Status

  • Professional is an independent contractor, not an employee, partner, or agent of Devn.

  • Professional is solely responsible for taxes, insurance, and compliance with all applicable laws.

 

2. Licensing, Credentials, and Compliance

  • Professional represents and warrants that they hold all required licenses, certifications, and authorizations necessary to provide their services.

  • Professional agrees to maintain compliance with all financial, tax, legal, and professional regulations applicable to their work.

  • Devn may suspend or remove Professionals who fail to maintain compliance.

 

3. Services Through the Platform

  • Professional may only provide services through the Platform once vetted and approved by Devn.

  • All bookings, communications, and payments must occur through the Platform unless otherwise authorized in writing.

  • Professional may not solicit, accept, or complete engagements with Clients outside the Platform (“non-circumvention”). Any violation may result in termination and damages equal to lost fees.

 

4. Pricing, Payments, and Fees

  • Professional agrees to the standard Devn payout model: 70% Professional payout / 30% Devn commission (or as updated by Devn with notice).

  • Payments are processed by third-party providers. Devn is not liable for delays or errors caused by those providers.

  • Devn will disburse payouts to Professionals according to its published schedule, net of applicable fees.

 

5. Client Engagements

  • Professional must conduct themselves professionally and ethically in all client interactions.

  • Professional must provide clear, actionable deliverables (e.g., action plans, recommendations) within the agreed session time.

  • Professional must not provide services outside their scope of expertise or misrepresent their qualifications.

 

6. Confidentiality & Data Handling

  • Professional may have access to sensitive client information, including financial documents.

  • Professional agrees to keep all client information strictly confidential and use it only for the purpose of delivering booked services.

  • Professional must securely store and delete any client documents in accordance with applicable law and Devn’s policies.

 

7. Reviews and Performance Monitoring

  • Clients may submit reviews, ratings, and feedback. Devn may display and use this data to improve the Platform.

  • Devn may monitor Professional performance and suspend or remove Professionals based on quality concerns, misconduct, or repeated complaints.

 

8. Non-Solicitation & Non-Circumvention

  • For a period of 12 months after the last interaction with a Client through the Platform, Professional agrees not to circumvent Devn by providing paid services to that Client outside Devn.

  • Violations will result in termination and damages equal to the commission Devn would have earned.

 

9. Intellectual Property

  • Professional retains ownership of any original materials they create for Clients.

  • Professional grants Devn a limited license to display their name, likeness, profile, and service descriptions on the Platform.

 

10. Indemnification

Professional agrees to indemnify and hold harmless Devn from any claims, damages, or liabilities arising from:

  • Professional’s services or advice,

  • Professional’s failure to maintain proper licenses, or

  • Professional’s violation of law or these terms.

 

11. Termination

  • Either party may terminate this Agreement at any time with notice.

  • Devn may immediately suspend or remove Professionals for misconduct, non-compliance, or breach of these terms.

  • Pending payouts for completed sessions will be disbursed, subject to deductions for damages or disputes.

 

12. Governing Law

This Agreement is governed by the laws of the State of Georgia. Any disputes will be resolved in accordance with Section 15 of Devn’s general Terms and Conditions.

 

13. Entire Agreement

This Agreement, together with Devn’s general Terms and Conditions, constitutes the full agreement between Devn and the Professional.
